1. Acceptance of these terms
By accessing or using torodyn.xyz (the "Website"), you agree to these Terms of use and to our Privacy policy. If you use the Website on behalf of a company, you confirm that you have authority to accept these terms for that company, and "you" includes that company. If you do not agree, please do not use the Website.
2. About Torodyn
The Website is operated by Torodyn Technologies ("Torodyn", "we", "us" or "our"), with its office at No. 274, 14th Cross, Thyagarajanagar, Bengaluru 560028, Karnataka, India. We provide business-to-business marketing services to manufacturers and power systems companies.
3. Who may use the site
The Website is intended for business professionals. You must be at least 18 years old and able to enter into a binding contract under the Indian Contract Act, 1872. You are responsible for making sure your use of the Website complies with the laws of the place you access it from.
4. Acceptable use
You may use the Website for lawful purposes only. You agree not to:
- copy, scrape, crawl or harvest content or contact details from the Website by automated means, except for search engine indexing that respects our robots.txt file;
- use Website content to train, fine-tune or benchmark machine learning models without our written permission;
- attempt to gain unauthorised access to the Website, its servers or any connected system, or probe, scan or test its vulnerabilities;
- upload or transmit viruses, malware or any code designed to disrupt, damage or monitor systems;
- submit false, misleading or impersonated information in forms, or use another person's details without permission;
- send spam, chain letters or unsolicited promotions through our forms;
- frame, mirror or reproduce the Website on another site;
- misuse our name, logo or brand, or imply an endorsement or partnership that does not exist; or
- use the Website in any way that violates the Information Technology Act, 2000, the rules made under it, or any other applicable law.
5. Intellectual property
All content on the Website, including text, articles, guides, diagrams, illustrations, photographs, videos, software, page layouts and the selection and arrangement of material, is owned by or licensed to Torodyn and protected by the Copyright Act, 1957 and other intellectual property laws. "Torodyn", the Torodyn logo and our service names are our trade marks.
You may view, download and print pages for your own internal business reference. You may share links to our pages and quote short extracts with clear credit to Torodyn and a link to the source. Any other use, including republishing, selling, modifying or creating derivative works, requires our prior written permission.
Names and logos of other companies that appear on the Website belong to their owners and are used for identification only.
6. Insights and customer stories
Articles, guides, benchmarks and templates on the Website are general information, prepared in good faith for people working in manufacturing and power systems marketing. They are not legal, financial, engineering, regulatory or tender advice, and should not be relied on as a substitute for professional advice on your specific situation.
Customer stories describe results achieved in specific engagements, with specific products, markets, budgets and sales teams. Past results do not guarantee that similar results will be achieved for you. Some client names and figures may be changed or withheld to protect confidential information.
7. Enquiries, proposals and engagements
Submitting an enquiry or booking a pipeline review does not create a client relationship or any obligation on either side. Any proposal we share is an invitation to discuss, valid for the period stated in it, and is not a binding offer until both parties sign a services agreement or statement of work.
Our paid services are governed exclusively by that signed agreement. If there is any conflict between these terms and a signed agreement, the signed agreement prevails.
We treat information you share during pre-sales conversations, such as pipeline figures, pricing and product roadmaps, as confidential and use it only to evaluate and propose an engagement. If you need a mutual non-disclosure agreement before sharing sensitive information, we are happy to sign one.
8. What you send us
You are responsible for the accuracy of information you submit, and for having the right to share it. Please do not send us third parties' personal data unless you are permitted to, or confidential information of your employer or clients that you are not authorised to disclose.
If you send us ideas, feedback or suggestions about our Website or services, we may use them without any obligation to you. This does not apply to confidential information shared under Section 7 or under a signed agreement.
9. Tools, calculators and downloads
We may offer calculators, assessments, templates and other tools, such as pipeline benchmarks or trade show planners. Their outputs are estimates based on the inputs you provide and general assumptions, and are for guidance only. You should verify any output before using it to make business decisions. Downloads are provided for your internal use under the licence in Section 5.
10. Third-party links and services
The Website may link to or embed third-party websites and services, such as LinkedIn, YouTube, scheduling tools, webinar platforms and trade show organisers. We do not control them and are not responsible for their content, availability, terms or privacy practices. A link does not imply our endorsement.
11. Disclaimers
We work to keep the Website accurate, current and available, but it is provided on an "as is" and "as available" basis. To the extent permitted by law, we make no warranties, express or implied, about the completeness, accuracy, reliability or fitness for a particular purpose of the Website or its content, or that it will be uninterrupted, error-free or free of harmful components.
References to industry standards, regulations, trade shows or tender processes reflect our understanding at the time of writing and may change. Always check the current official source.
12. Limitation of liability
To the maximum extent permitted by law, Torodyn, its partners, employees and contractors will not be liable for any indirect, incidental, special, consequential or punitive loss arising from your use of, or inability to use, the Website. This includes loss of profits, revenue, business opportunities, contracts, data or goodwill, even if we were told such loss was possible.
Our total liability to you for all claims relating to the Website is limited to ₹10,000 (ten thousand Indian rupees). This limit does not apply to liability that cannot be limited under applicable law, including liability for fraud, or for death or personal injury caused by negligence. It also does not apply to paid services, where liability is governed by the signed agreement.
13. Indemnity
You agree to indemnify and hold Torodyn harmless from any claims, losses, liabilities, costs and reasonable legal fees arising from your breach of these terms, your misuse of the Website, or your violation of any law or third-party right.
14. Privacy
Our Privacy policy explains how we collect, use and protect personal data in line with the Digital Personal Data Protection Act, 2023 and other applicable laws. It forms part of these terms.
15. Suspension and changes
We may change, suspend or withdraw any part of the Website at any time, including for maintenance or security reasons. We may block access for anyone who breaches these terms.
We may update these terms from time to time. The date at the top of this page shows when they last changed. Changes apply from that date, and continuing to use the Website after a change means you accept the updated terms.
16. Governing law and disputes
These terms are governed by the laws of India. If a dispute arises, both parties will first try to resolve it in good faith through discussion between senior representatives for 30 days after written notice.
If it is not resolved, the dispute will be referred to arbitration by a sole arbitrator appointed by mutual agreement, under the Arbitration and Conciliation Act, 1996. The seat and venue of arbitration will be Bengaluru, and the proceedings will be in English. Subject to this, the courts at Bengaluru, Karnataka, have exclusive jurisdiction. Either party may seek urgent interim relief from a competent court.
17. General terms
- Entire agreement. These terms and the Privacy policy are the whole agreement between you and us about the Website.
- Severability. If any provision is found invalid or unenforceable, the rest continue in full effect.
- No waiver. If we do not enforce a right immediately, we have not given it up.
- Assignment. You may not transfer your rights under these terms. We may transfer ours to a successor business.
- Force majeure. We are not responsible for delays or failures caused by events beyond our reasonable control, including power outages, network failures, natural disasters and government action.
- Language. These terms are written in English. Any translation is for convenience, and the English version prevails.
18. Contact and grievances
For questions about these terms, or to report content or activity on the Website that you believe is unlawful or infringes your rights, contact our Grievance Officer. We acknowledge complaints within 48 hours and aim to resolve them within 15 days.
